Director, Corporate Legal

Director, Corporate Legal will report to KATERRA's General Counsel and lead on KATERRA's corporate finance, M&A and other general corporate matters, including joint venture formation and structuring and entry into new geographies. This candidate will be a skilled and confident negotiator and communicator, be motivated by the varied demands and uncertainties of a highly dynamic growth business, and possess intellectual curiosity about the complex legal and commercial issues involved in operating a multinational, high-growth, vertically integrated construction services business.

Essential Duties & Responsibilities

  • First line of response to any and all corporate legal matters – including leading legal advisory on strategic transactions, corporate finance and banking matters, subsidiary formation, corporate governance matters, and general corporate work.
  • Work closely with head of M&A and external counsel on any corporate acquisitions.
  • Develop business relationships across and collaborate with the Company’s legal team and internal business leaders and stakeholders.
  • Manage multiple teams of outside lawyers in an efficient manner.
  • Periodic reporting to executives regarding key risks and matters.
  • Collaborate with KATERRA corporate paralegal to manage all aspects of KATERRA stock administration, including overseeing maintenance of corporate records, management of cap table, responding to shareholder requests, and supporting management of any option exercises and secondary share transfer activity.
  • Support the General Counsel and KATERRA global legal team on other company-related legal functions on a case-by-case basis, including without limitation providing support on unusual commercial transactions, real estate matters and IP/trademark matters.

Required Skills & Experience

  • Licensed attorney in any of California, New York or Washington.
  • Juris Doctorate from top tier school preferred.
  • Generalist mindset required. 7+ years of general corporate experience, with significant M&A and venture-backed financing experience preferred.
  • Sufficient experience and confidence to advise business leaders, in plain English, on the nature of legal issues and the risks and benefits of various response alternatives.
  • High degree of comfort with creating, modifying and analyzing pro forma cap tables and shareholder voting analysis.
  • Ability to respond creatively to drafting and negotiation challenges, with focus on driving to efficient solution – a bringer of solutions, not just an identifier of problems.
  • Ability to analyze and interpret complex documents quickly.
  • Ability to multitask and continuously prioritize and re-prioritize critical actions.
  • Must be detail-oriented, organized, and self-motivated, and able to work independently and under time pressure.
  • Eager, adept and concise communicator; the type of person who will first call, and then email, and then call again, until the matter is done.
