Summary We are looking for an outstanding and versatile attorney to serve as Senior Counsel with a broad focus that includes supporting our growing Schools business, the My Math Academy and My Reading Academy products, our consumer products, including marketing and intellectual property needs for ABCmouse and Adventure Academy, and privacy compliance, both in the U.S. and internationally. As a critical member of the Legal team, you will work on a diverse array of legal contracts, policies, and programs. You will also serve as a trusted partner across company departments, helping efficiently and effectively address a wide range of business needs. This opportunity requires a wide array of skillsets and the opportunity to use and enhance those skills in a dynamic EdTech company.
Responsibilities
- Provide proactive, strategic counsel to marketing clients for legal and regulatory compliance for various advertising and marketing campaigns and materials with a concentration in direct-to-consumer marketing and sales through online and app-based initiatives
- Draft and negotiate a wide variety of advertising and marketing agreements, including affiliate marketing, sponsorship and influencer agreements, and vendor contracts related to media buying and advertising technologies
- Support the Schools Division; including drafting, reviewing, and negotiating sales agreements with schools and school districts, and responding to RFPs, data privacy agreements, and other legal inquiries. Strategically working with business executives to address additional legal issues to grow the Schools Division at scale
- Provide strategic counsel and manage a significant IP portfolio, including trademarks, patents, copyrights, and domains.
- Navigating general privacy (including GDPR, CCPA, and CPRA) and security laws and issues in a commercial negotiation context, as well as laws specific to children and education such as FERPA and COPPA
- Draft, manage, and negotiate a variety of complex inbound and outbound company contracts with an emphasis on licensing, SaaS-based technology, and distribution and partnership agreements.
- Ability to develop strong relationships and deliver quality communications to the sales team and operate as a business partner to close deals
- Collaborate with the legal and business teams to evolve the commercial legal function, by identifying opportunities to centralize knowledge and creating scalable processes to increase visibility and expedite communication, alignment, and execution
- Collaborate with other teams to contribute and implement best practices to manage risk and foster growth throughout the organization
- Serve as a critical point of contact to provide legal support for all departments within the organization
Required Qualifications
- Law degree from ABA-accredited law school and membership in good standing of the state bar in the state where the attorney is located
- 10+ years of proven legal experience within law firms and in-house legal departments
- Highly motivated and detail-oriented individual, with the ability to proactively own and organize a substantial workload and demonstrate excellent analytical abilities
- Experience working with cross-functional teams
- Ability to identify and analyze complex issues and devise creative solutions and strategies for resolution
- Superior interpersonal, written, and verbal communication skills with the ability to relate comfortably at all levels with internal and external stakeholders
- Significant experience in:
- Commercial law: Strong drafting and negotiating of contracts from a practical yet creative perspective, including technology licenses, and strategic partnership agreements; ability to solve problems effectively and efficiently in a business-friendly manner and fast-paced environment
- Privacy law: Navigating privacy laws and security issues in a commercial negotiation context
- IP: Experience with portfolios including patents, trademarks, copyrights and domains
Preferred Qualifications
- Experience working in an EdTech company selling to schools and school districts
- Experience in children’s privacy issues
The estimated salary range for a new hire into this position is $120,000 USD to $200,000 USD. Salary may vary depending on job-related factors which may include knowledge, skills, experience, and location.
